## Summary

Azul said American Airlines completed a $100 million investment and received 31,838,775 common shares, about 7.9% of 400,829,250 outstanding shares. Alliances chief Jeff Ogar took seats on Azul's board and Strategic Committee after CEO John Rodgerson stepped down from both posts, a condition of the warrant deal. United placed the same $100 million through Azul's February offering and already has comparable governance rights.

Brazil's CADE gave unanimous approval on October 7, attaching a Merger Control Agreement after a challenge from Abra. Azul left Chapter 11 on February 25. The carrier is the largest airline in Brazil. In 2025 it carried 32 million passengers on a schedule of about 800 flights a day. A holding near 8% is not control, but shared governance could raise concentration concerns. Fares on routes to and from Brazil are likely to increase.

AAdvantage award access on Azul still needs U.S. antitrust immunity, which is not approved. United already has a more advanced commercial link with Azul, so those partnership benefits may come first. Nothing to book yet, so watch for U.S. antitrust immunity and any codeshare or award chart changes.
